AVP LLC<\/strong><\/p>

I. Allgemeine Bestimmungen<\/strong><\/p>

  1. Scope
    <\/strong>1.1 These General Terms and Conditions (GTC) apply to all contracts, deliveries, and services between AVP GmbH (hereinafter referred to as \u201eContractor\u201c) and its customers (hereinafter referred to as \u201eClient\u201c).
    1.2 Deviating or conflicting terms and conditions of the Customer shall only apply if the Contractor expressly agrees to them in writing.
    The General Terms and Conditions valid at the time of contract conclusion are decisive.<\/li>
  2. Contractual basis
    <\/strong>In case of contradictions, the following order applies:
    The individual agreements in the order,
    b) These Terms and Conditions,
    c) The agreements in the offer or order confirmation.<\/li>
  3. Offers and order acceptance
    <\/strong>3.1 The Seller's offers are non-binding and without obligation. They expire after 30 calendar days unless otherwise stated in the offer.
    3.2 A contract is concluded by the written order confirmation of the CLIENT or by the commencement of the provision of services.
    3.3 Amendments or additions require written confirmation by the contractor.<\/li>
  4. Duties of the Parties
    <\/strong>4.1 Both parties undertake to inform each other immediately of any difficulties or delays that arise.
    4.2 The CONTRACTOR is entitled to transfer parts or the entire order to suitable third parties if this is necessary or expedient for the proper fulfillment of the contract. The selection of third parties is made with due care and with consideration of their professional suitability. The CLIENT will be informed in a timely manner, provided that the transfer of parts of the order is not already apparent from the nature of the service.

    <\/li><\/ol>

    II. Verg\u00fctung und Preise <\/strong><\/p>

    1. Preis<\/strong>angaben
      <\/strong>The agreed prices are net prices plus statutory value-added tax.
      1.2 Verpackungs-, Transport- und Versicherungskosten sind, sofern nicht anders vereinbart, zus\u00e4tzlich zu verg\u00fcten.
      <\/span>1.3 Transport- und Verpackungsmaterial geht bei Beginn der Arbeiten in das Eigentumsverh\u00e4ltnis des AG \u00fcber und ist durch diesen sach- und fachgerecht zu entsorgen.
      <\/span><\/li>
    2. Price changes
      <\/strong>2.1 If the scope of services is changed by instructions from the client, a new price must be agreed upon.
      Services not originally included in the contract will be billed based on actual costs incurred.
      2.3 Services that were not apparent in advance and are necessary for the execution of the offer will be invoiced separately and are considered additional services to the offer.<\/li>
    3. Surcharges
      <\/strong>For overtime, night, Sunday, and holiday hours, as well as work under difficult conditions, surcharges will be applied.<\/li>
    4. Interim payments
      <\/strong>4.1 The client is entitled to demand advance payments or installment payments. Without special agreement, the client may demand an installment of up to 1\/3 of the order value before the commencement of work.

      <\/li><\/ol>

      III. Payment Terms<\/strong><\/p>

      1. Due date
        <\/strong>1.1 Invoices are to be paid within 14 days of receipt without deduction, unless otherwise agreed in writing.<\/li>
      2. Delay
        <\/strong>2.1 In the event of late payment, the Contractor shall charge late payment interest at a rate of 8 % above the base interest rate pursuant to Section 247(1) of the German Civil Code (BGB).
        2.2 A fee of 12.50 Euros <\/strong>per first reminder levied.<\/span><\/li>
      3. Set-off and right of retention
        <\/strong>3.1 The AG may only offset claims that are undisputed or have been legally established.

        <\/li><\/ol>

        IV. Lieferzeit und Montage
        <\/strong><\/p>

        1. Delivery times
          <\/strong>1.1 Delivery dates are only binding if they have been expressly agreed upon as such.
          1.2 In case of force majeure, the delivery period shall be extended by the duration of the impediment.<\/li>
        2. Employer's duty to cooperate
          <\/strong>2.1 The principal shall ensure that the contractor has unimpeded access to the construction site.
          2.2 Storage space, workstations, and electricity and water connections shall be made available to the contractor free of charge.<\/li><\/ol>
          1. Montage- und Installationsarbeiten k\u00f6nnen bei ungeeigneten <\/strong>Witterungsverh\u00e4ltnissen <\/strong>\u2013 insbesondere bei Sturm, Frost, Schnee, Eis, Starkregen oder <\/span>Glatteis \u2013 ohne Ank\u00fcndigung unterbrochen oder eingestellt werden, sofern dies zur Gew\u00e4hrleistung der Arbeitssicherheit oder zur Vermeidung von Sch\u00e4den an Material und Anlage erforderlich ist. Durch witterungsbedingte Arbeitsunterbrechungen verl\u00e4ngert sich ein vereinbarter Fertigstellungstermin automatisch um die Dauer der Behinderung zuz\u00fcglich einer angemessenen Wiederanlaufzeit. Der AN informiert den AG unverz\u00fcglich \u00fcber die Unterbrechung und den voraussichtlichen Wiederbeginn der Arbeiten.

            <\/li><\/ol>

            V. Eigentumsvorbehalt<\/strong><\/p>

            1. Reservation of title
              <\/strong>The SE retains ownership of delivered goods until full payment.
              1.2 In case of default in payment, the contractor may dismantle and repossess delivered goods. The client shall bear the costs for this.

              <\/li><\/ol>

              VI. Gew\u00e4hrleistung und M\u00e4ngel<\/strong><\/p>

              1. Notice of Defects
                <\/strong>1.1 The AG must notify the contractor in writing of any defects immediately after receipt of the performance.<\/li>
              2. Rights in case of defects
                <\/strong>2.1 The supplier may, at its own discretion, choose between rectification or replacement.
                A color difference between modules is not a defect.
                The warranty period for material defects is 2 years, unless a longer guarantee is provided.

                <\/li><\/ol>

                VII. Liability<\/strong><\/p>

                1. Limitation of liability <\/strong>The contractor's liability for damages, regardless of the legal basis, is limited to intent and gross negligence. In cases of slight negligence, the contractor is only liable for the breach of essential contractual obligations (cardinal obligations). In these cases, the contractor's liability is limited in amount to the contractually typical, foreseeable damage.\u201c<\/li>
                2. Liability for Third-Party Products\/Services
                  <\/strong>2.1 To the extent that the Contractor uses or provides products, components, or services from third parties (e.g., manufacturers, suppliers, software\/cloud providers), the Contractor shall not be liable for their accuracy, functionality, or continued availability, but only for their careful selection and proper integration into its services, if and to the extent that this is required.
                  2.2 Any further claims arising from product defects must be asserted directly against the respective manufacturer in accordance with the Product Liability Act or the warranty provided by the manufacturer; the Contractor merely acts as an intermediary for such manufacturer warranties.
                  2.3 The Contractor shall not be liable for damages resulting solely from a defect in a product manufactured by a third party; this shall not affect mandatory statutory claims, in particular those under the Product Liability Act.

                  VIII. Data Protection<\/strong><\/p>

                  1. Privacy Policy
                    <\/strong>1.1 The AD processes personal data in accordance with data protection laws. Further details can be found in the privacy policy.

                    <\/li><\/ol>

                    IX. Verwendung von Bildmaterial<\/strong><\/p>

                    1. Der Auftragnehmer ist berechtigt, Bild- und Videomaterial von durch ihn geplanten, erstellten oder errichteten Projekten \u2013 unabh\u00e4ngig davon, ob diese im Kundenauftrag oder in Eigenregie ausgef\u00fchrt wurden \u2013 zu Dokumentations-, Referenz- und Werbezwecken zu verwenden. Dies umfasst insbesondere die Nutzung auf der Unternehmenswebsite, in Pr\u00e4sentationen, Brosch\u00fcren, sozialen Medien sowie sonstigen Marketing- und Kommunikationsmitteln. Ein Widerspruch gegen die Anfertigung oder Verwendung von Bildmaterial ist vom Auftraggeber to be communicated in writing before order placement<\/strong>. Nachtr\u00e4gliche <\/span>Einschr\u00e4nkungen sind nur mit ausdr\u00fccklicher Zustimmung des Auftragnehmers m\u00f6glich.

                      X. Schlussbestimmungen<\/strong><\/p>

                      1. Place of performance and jurisdiction
                        <\/strong>1.1 The place of performance and venue for legal proceedings is Stutensee, provided that the client is a merchant.<\/li>
                      2. Choice of Law
                        <\/strong>2.1 German law applies exclusively. UN sales law is excluded.<\/li>
                      3. Severability Clause
                        <\/strong>3.1 Should individual provisions of these GTC be invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid one that comes closest to the economic purpose.
